These Terms of Service ("Terms") govern access to and use of the BaloWaci website, mobile application, time interpretation tools, feedback forms, content, and related services (collectively, the "Service"). The Service is provided by BaloWaci LLC ("BaloWaci," "we," "our," or "us").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The BaloWaci Service

BaloWaci is a unified time interpretation system that may include live time wheels, watch concepts, cultural and environmental time insights, product journey content, weather-related context, founder materials, feedback tools, and future app or hardware-related experiences.

The Service is for informational, creative, educational, and product exploration purposes. It is not a safety-critical, navigation, emergency, medical, financial, or legal service.

2. Eligibility

You must be at least 13 years old to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts and Access

The Service may currently be available without an account. If account, pilot, licensing, subscription, or administrative features are added, you agree to provide accurate information, protect your credentials, and promptly notify us of unauthorized access.

5. Feedback and User Submissions

If you submit feedback, ideas, comments, files, survey responses, or other content ("User Submissions"), you grant BaloWaci a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, reproduce, modify, publish, display, distribute, and create derivative works from those User Submissions for operating, improving, promoting, and developing BaloWaci.

You are responsible for your User Submissions and represent that you have the rights needed to submit them.

6. Intellectual Property

The Service, including BaloWaci names, logos, watch concepts, interfaces, visual designs, text, software, graphics, audio, images, time interpretation methods, and other materials, is owned by BaloWaci or its licensors and is protected by intellectual property laws.

Except as expressly allowed by these Terms, you may not copy, modify, distribute, sell, lease, publicly display, or create derivative works from the Service without written permission.

7. Third-Party Services

The Service may rely on third-party hosting, analytics, weather, map, app store, payment, communication, or content services. We are not responsible for third-party services, and your use of them may be governed by separate terms and policies.

8. Purchases, Pilots, and Refunds

If BaloWaci offers paid services, app purchases, physical products, pilot programs, subscriptions, licensing, or implementation services, additional purchase terms may apply. Refunds are governed by the Refund Policy or the written agreement for that purchase.

9. Privacy

Our Privacy Policy explains how we collect, use, and share information. By using the Service, you acknowledge the Privacy Policy.

10. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, BaloWaci disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that the Service will be uninterrupted, secure, error-free, accurate, or available at any particular time. Time, weather, cultural, environmental, and interpretive content may be approximate, experimental, incomplete, or subject to change.

11. Limitation of Liability

To the fullest extent permitted by law, BaloWaci and its owners, officers, employees, contractors, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities.

To the fullest extent permitted by law, BaloWaci's total liability for any claim relating to the Service will not exceed the greater of the amount you paid BaloWaci for the Service in the 12 months before the claim or 100 U.S. dollars.

12. Indemnification

You agree to defend, indemnify, and hold BaloWaci harmless from claims, damages, losses, liabilities, costs, and expenses arising from your use of the Service, your User Submissions, your violation of these Terms, or your violation of any law or third-party right.

13. Suspension and Termination

We may suspend or terminate access to the Service at any time if we believe you violated these Terms, created risk, caused possible legal exposure, or used the Service in a harmful way. You may stop using the Service at any time.

14. Changes

We may update these Terms from time to time. The updated Terms will be posted with a new "Last Updated" date. Continued use of the Service after changes means you accept the updated Terms.

15. Governing Law and Disputes

Unless otherwise required by applicable law, these Terms are governed by the laws of the State of Iowa and the United States, without regard to conflict of law rules.

Before either party begins a formal dispute, the parties will try to resolve the issue informally by contacting info@balowaci.com. If informal resolution fails, disputes will be handled in the state or federal courts located in Iowa, unless a written agreement says otherwise or applicable law requires another forum.

16. Miscellaneous

These Terms, together with the Privacy Policy and any additional terms that apply to specific features, are the entire agreement between you and BaloWaci regarding the Service. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver.
